Conditions of Participation – Shareholder Benefit Program of Empire Brand Building AG

1. General
Empire Brand Building AG ("Company") offers shareholders the opportunity to receive cashback on purchases made at the Group's affiliated online stores through its Shareholder Benefit Program ("Program"). Participation in the Program is subject to the following terms and conditions.
The terms and conditions of participation may be changed or supplemented at any time. The most current version, published at www.ebb-ag.com/pages/benefit-programm , shall prevail.

2. Eligibility
All natural or legal persons who hold at least 100 shares of Empire Brand Building AG in their own portfolio at the time of purchase and who can provide proof of this are eligible to participate.
Proof is provided by submitting a current securities account statement or a confirmation from the depository bank showing the share holdings at the time of purchase.

3. Scope
The program applies to purchases in the following online stores of the group:

• Familienmarktplatz.de
• CleoTess.de
• Squerk.com

The program is only valid in countries to which the respective stores also deliver. Valid delivery areas can be viewed in advance on the respective stores' websites or requested from the respective customer service.

4. Cashback performance
Eligible participants receive 5% cashback on the net value of the order.
The cashback will be paid directly to the participant after the respective shop has successfully verified the proof.

To apply, the following documents must be sent by email to the Investor Relations team of Empire Brand Building AG:

1. Receipt or invoice for the order
2. Proof of ownership of at least 100 shares at the time of purchase

5. Exclusions
The cashback program cannot be combined with other discounts, vouchers, or special offers.
It does not apply to discounted items or orders where discount codes were used. There is no legal entitlement to participation or payout.

6. Changes and Termination
Empire Brand Building AG reserves the right to change, pause or terminate the program at any time, particularly for economic, legal or technical reasons.
Cashback applications that have already been confirmed will remain unaffected by any changes or terminations.
The program is not guaranteed for life and may be adjusted in its form, amount, or structure. There is no guarantee of permanent continuation.

7. Term and validity
The benefit program takes effect upon its publication and remains in effect until further notice.

8. Data protection
The data submitted as part of the participation (purchase receipt, proof of share ownership, contact details) will be used exclusively to verify and process the cashback benefit. Data will only be shared with third parties if necessary for payment by the respective stores.
Otherwise, the respective data protection regulations of the participating shops apply.
